UAE Corporate Tax 2026 | Complete Guide for Indian & NRI Business Owners

The UAE introduced a federal Corporate Tax (CT) of 9% effective June 2023 — one of the lowest corporate tax rates in the world. For Indian entrepreneurs and NRIs with UAE companies, understanding the CT framework is essential for structuring your business correctly and maximising tax efficiency. This pillar guide covers everything you need to know.

UAE Corporate Tax — Key Facts

  • Rate: 9% on taxable income above AED 375,000 (approx. ₹85 lakhs)
  • Zero rate: 0% on taxable income up to AED 375,000
  • Effective date: Financial years starting on or after 1 June 2023
  • Administered by: Federal Tax Authority (FTA)
  • No personal income tax: Salaries, dividends, and capital gains for individuals remain tax-free

Who is Subject to UAE Corporate Tax?

  • All UAE mainland companies (LLC, sole establishment, branch)
  • UAE Free Zone companies (subject to specific rules — see below)
  • Foreign companies with a permanent establishment in UAE
  • Individuals conducting business in UAE (with annual turnover above AED 1 million)

Free Zone Companies — Qualifying Free Zone Person (QFZP)

Free Zone companies can benefit from a 0% corporate tax rate on qualifying income if they meet the Qualifying Free Zone Person (QFZP) criteria:

  • Maintain adequate substance in the Free Zone (real office, employees, operations)
  • Derive qualifying income (income from transactions with other Free Zone persons or international customers)
  • Do not elect to be subject to standard CT
  • Comply with transfer pricing rules
  • Meet the de minimis threshold: non-qualifying revenue must not exceed 5% of total revenue or AED 5 million (whichever is lower)

Important: Income from UAE mainland customers is generally NOT qualifying income and is taxed at 9%.

What is Qualifying Income for Free Zone Companies?

  • Income from transactions with other Free Zone persons
  • Income from international customers (outside UAE)
  • Income from certain regulated financial services
  • Income from ownership of qualifying intellectual property
  • Income from qualifying activities as specified by the Ministry of Finance

UAE VAT — Value Added Tax

Separate from corporate tax, UAE VAT at 5% applies to most goods and services:

  • Mandatory registration: Annual taxable turnover exceeding AED 375,000
  • Voluntary registration: Annual taxable turnover exceeding AED 187,500
  • Zero-rated: Exports, international transport, certain food items, healthcare, education
  • Exempt: Bare land, residential property (first supply), local passenger transport, financial services
  • Filing: Quarterly VAT returns via FTA portal

India-UAE DTAA — Double Taxation Avoidance Agreement

India and UAE have a comprehensive DTAA that prevents the same income from being taxed in both countries. Key provisions for Indian entrepreneurs:

  • Business profits: Taxed only in UAE if no permanent establishment in India
  • Dividends: 10% withholding tax (reduced rate under DTAA)
  • Interest: 12.5% withholding tax
  • Royalties: 10% withholding tax
  • Capital gains: Generally taxed in country of residence
  • Key requirement: Must be a genuine UAE tax resident (not just a visa holder) to claim DTAA benefits

Transfer Pricing Rules

UAE CT law includes transfer pricing provisions requiring related-party transactions to be conducted at arm's length. Indian entrepreneurs with both Indian and UAE entities must ensure:

  • Intercompany transactions are priced at market rates
  • Transfer pricing documentation is maintained
  • Disclosure of related-party transactions in CT return

Corporate Tax Compliance Calendar

  • CT Registration: Within 3 months of financial year start (mandatory for all taxable persons)
  • CT Return filing: Within 9 months of financial year end
  • CT Payment: Within 9 months of financial year end
  • Penalty for late registration: AED 10,000
